PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE SOFTWARE (BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
1. License Grant
VOXSCREEN grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your personal or internal business purposes, subject to the terms and conditions of this Agreement.
2. Restrictions
Licensee shall not:
– Copy, modify, or distribute the Software except as expressly permitted in this Agreement.
– Reverse engineer, decompile or disassemble the Software.
– Rent, lease, or lend the Software.
– Use the Software for any unlawful purpose or in a manner inconsistent with this Agreement.
3. Ownership
The Software is licensed, not sold. Licensor retains all rights, titles, and interests in and to the Software, including all intellectual property rights.
4. Termination
This Agreement is effective until terminated. Licensee may terminate this Agreement at any time by uninstalling and ceasing to use the Software. Licensor may terminate this Agreement immediately if Licensee breaches any provision of this Agreement. Upon termination, the Licensee must uninstall and cease all use of the Software.
5. Disclaimer of Warranties
The Software is provided “AS IS” without warranty of any kind. Licensor disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
9. Amendments
Licensor reserves the right to amend this Agreement at any time by providing notice to Licensee. Continued use of the Software after any such amendments shall constitute the Licensee’s consent to such amendments.
